Terms of Service

1. Acceptance

These Terms of Service ("Terms") govern your access to and use of the websites, portals, and applications (collectively, the "Platform") operated by Ellis Technologies, Inc. ("Ellis Technologies," "we," "our," or "us"). By accessing or using the Platform, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Platform.

2. Ellis Technologies Is Not a Law Firm

Ellis Technologies builds and operates the Platform. Legal services are provided by our affiliated law firms, Ellis Legal, P.C. and Ellis Legal LLC (each, an "Ellis Legal Firm"), through their licensed attorneys and legal professionals. The Platform supports the Ellis Legal Firms and their clients. Your legal matter stays with your Ellis Legal Firm, and we do not refer or assign matters to unrelated law firms.

Ellis Technologies itself is not a law firm and does not provide legal services. Nothing on the Platform is legal advice. Using the Platform, submitting information, or communicating with Ellis Technologies does not create an attorney-client relationship. Legal services are provided solely under a written engagement agreement between an Ellis Legal Firm and its client, and attorneys at the Ellis Legal Firms exercise independent professional judgment in all legal matters. If you have questions about a legal matter, contact your Ellis Legal Firm.

3. Eligibility and Accounts

You must be at least 18 years old and have the legal capacity to enter into these Terms. You agree to provide accurate, current, and complete account information and to keep it updated. Accounts are individual. You are responsible for safeguarding your login credentials, you may not share them, and you are responsible for activity under your account. Notify us promptly if you suspect unauthorized use.

4. License and Permitted Use

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal or internal business purposes in connection with legal services provided by an Ellis Legal Firm. You shall not: copy, modify, distribute, sell, or lease any part of the Platform; reverse engineer or attempt to extract its source code except where such restriction is prohibited by law; upload malicious code; use automated systems to scrape or harvest data; interfere with the Platform's integrity or performance; or access the Platform to build a competing product.

5. Fees

Access to the Platform is provided under the arrangements between the applicable Ellis Legal Firm and its clients, or as otherwise agreed in writing. Fees for legal services are governed exclusively by the applicable engagement agreement.

6. Privacy

Our collection and use of personal data is described in our Privacy Policy. Information relating to legal matters is processed on behalf of the applicable Ellis Legal Firm as described there.

7. Intellectual Property; Your Content; Feedback

The Platform, including all content, software, and trademarks, is owned by Ellis Technologies or its licensors. You retain ownership of content you submit. You grant Ellis Technologies a worldwide, royalty-free license to host, use, reproduce, and display that content solely to provide the Platform and related services. If you provide feedback, you grant Ellis Technologies a perpetual, irrevocable, royalty-free license to use it without obligation to you.

8. Third-Party Services

The Platform may link to or integrate with third-party services that Ellis Technologies does not control. Your use of those services is governed by their terms, and Ellis Technologies is not responsible for their content or practices.

9. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." ELLIS TECHNOLOGIES DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELLIS TECHNOLOGIES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM. ELLIS TECHNOLOGIES' TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM WILL NOT EXCEED THE GREATER OF (i) THE AMOUNTS PAID TO ELLIS TECHNOLOGIES FOR THE PLATFORM IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (ii) ONE THOUSAND U.S. DOLLARS. THIS SECTION DOES NOT APPLY TO LEGAL SERVICES, WHICH ARE GOVERNED EXCLUSIVELY BY THE APPLICABLE ENGAGEMENT AGREEMENT.

11. Indemnification

You agree to defend, indemnify, and hold harmless Ellis Technologies and its affiliates from claims, damages, and expenses (including reasonable attorneys' fees) arising out of your breach of these Terms, your violation of law, or your misuse of the Platform.

12. Termination

We may suspend or terminate your access to the Platform if you violate these Terms or as directed by the applicable Ellis Legal Firm. Upon termination, your right to use the Platform ends. Sections 7 through 15 survive termination. Data relating to legal matters is handled according to our agreements with the applicable Ellis Legal Firm and our Privacy Policy.

13. Precedence

These Terms govern Platform use only. If you or your employer have an engagement agreement with an Ellis Legal Firm, that agreement controls as to legal services and, if there is a conflict regarding a legal matter, prevails over these Terms.

14. Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles. Any dispute arising under these Terms that cannot be resolved informally will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules in New York County, New York. You and Ellis Technologies waive any right to a jury trial or to participate in a class action.

15. Changes; Miscellaneous

We may revise these Terms from time to time. When we do, we will post the updated Terms with a new effective date. For material changes, we will give notice by email or through the Platform. If you continue to use the Platform after the effective date, the updated Terms apply to you. If any provision is unenforceable, the remainder stays in effect. These Terms, together with the Privacy Policy, are the entire agreement between you and Ellis Technologies regarding the Platform.
